Non-Exclusivity

Please do not send us any confidential or proprietary material unless we have entered into a written confidentiality agreement with you, as we do not otherwise agree to obligations of non-disclosure or non-use of such material. We receive a large number of business plans and other proposals, which may be similar to one another or overlap. We reserve the right to review only those which appear to us to fit our investment criteria from time to time and to reject proposals without giving a reason or returning material sent to us. We are not restricted in any way from pursuing opportunities with others. Blazehill Capital Limited and funds under its management or advice invest in many companies, some of which may compete with one another.

Security of information

Information posted on this Site may be accessible to third parties by means of the internet or otherwise. Please do not transmit any confidential information to or through this Site. We will handle any personal data you send us in accordance with our Privacy Notice in Part B.

Governing law and jurisdiction

These terms and conditions, and all matters connected with them, are governed by the laws of England and Wales. The courts of England have exclusive jurisdiction to settle any dispute, controversy or claim arising from or connected with these terms and conditions, including regarding the formation, validity or termination of these terms and conditions.

Part B – Privacy Notice

Blazehill Capital Limited (registered in England and Wales, company number 12567871) is the fund manager. It is the controller of personal data collected through this website (this “Site”) and people who apply to work with us. Loans are made by lending vehicles managed by Blazehill Capital Limited. The lending vehicle that provides, or is considering providing, finance to a business is the controller of the personal data it holds about that business and the individuals connected to it. We will tell you which vehicle that is when we first collect your information. In this notice, “Blazehill”, “we”, “us” and “our” mean Blazehill Capital Limited and the lending vehicles it manages, as applicable. If you would like to know which entity holds your personal data, please ask us.

This notice covers our borrowers and prospective borrowers and the individuals connected to them (including directors, shareholders, beneficial owners, persons with significant control and guarantors), our investors, our suppliers and business contacts, visitors to this Site and people who apply to work with us. If you work for Blazehill, your own data is covered by our separate employee privacy notice.

Personal Information collection

We collect and process the following personal information about you:

(a) Information you provide to us – personal information that you provide to us, for example during the onboarding of new clients or if you send us a CV in relation to a possible position at Blazehill Capital, including your name, email address (and/or proof of address), other contact details and financial information;

(b) Our correspondence – information about any correspondence that we may have with you, including when you contact us via email or the “contact us” links on the Site;

(c) Website and communication usage – details of your visits to the Site and information collected through cookies, including your IP address and domain name, browser version and operating system, traffic data, approximate location (derived from your IP address), web logs and other communication data, and the resources that you access;

(d) Borrowers and connected individuals – where we are considering, providing or managing finance for a business, we process the name, date of birth, nationality, contact details, address and proof of address, identification documents, role and shareholding, and financial and creditworthiness information of the individuals connected to it. We obtain this from you, from the borrower and its advisers, from Companies House and other public registers, and from credit reference, identity verification and screening providers; and

(e) Anti-money laundering and financial crime checks – our lending entities are registered with the Financial Conduct Authority for anti-money laundering purposes under the Money Laundering Regulations. We carry out electronic identity verification and screening against sanctions lists, politically exposed person lists, adverse media and, where appropriate, financial and criminal records checks, using third-party providers. These checks apply to borrowers and connected individuals, and to our own staff and officers and, before they join us, to successful job applicants.

Purposes for processing personal data, legal grounds, retention and disclosure

We disclose your personal data to service providers who act as our processors, including cloud, software and IT providers.

We also disclose your personal data to professional advisors such as administrators, agents, and contractors, as well as financial, legal, business and other advisors.

Where relevant to a financing, we also disclose personal data to: Blazehill Capital Limited and the lending vehicles it manages; co-lenders, senior and other lenders, facility agents and security trustees; prospective lenders, participants or transferees in connection with any assignment, transfer or participation of a loan; credit reference, identity verification and screening providers; and our auditors and insurers. Where we are required or permitted by law, we also disclose personal data to regulators, HM Revenue & Customs, the National Crime Agency, law enforcement agencies, courts and other public authorities.

Some of our providers, including the identity verification and screening services we use for due diligence, may process personal data outside the United Kingdom. Where that happens we make sure it is protected to UK standards, by transferring only to a country covered by UK adequacy regulations, or by using an approved safeguard such as the International Data Transfer Agreement or the UK Addendum to the EU Standard Contractual Clauses. You can ask us for details of the safeguards that apply.

We keep personal data only for as long as we need it for the purposes below, including to meet our legal and regulatory obligations. When it is no longer needed, it is either irreversibly anonymised (and the anonymised information may be retained) or securely destroyed.

Your Rights

You have the following rights over your personal data. Some are qualified and apply only in certain circumstances: to be informed how we use your data; to access it and receive a copy; to have inaccurate or incomplete data corrected; to have it erased where we no longer need it and no legal obligation requires us to keep it; to restrict how we use it while a concern is resolved; to object to processing based on our legitimate interests, and at any time to direct marketing; to data portability; to withdraw consent where we rely on it; and not to be subject to a decision based solely on automated processing that significantly affects you.

To exercise any of these rights, contact us using the details above. We will respond without undue delay and within one month, which we may extend by up to two further months for complex requests – we will tell you if that happens. There is normally no charge, and we may need to verify your identity first. When responding to a request for access, we will carry out reasonable and proportionate searches. Some rights are limited by law: for example, we may be unable to delete records we are required to keep for anti-money laundering purposes, and we may be prevented from disclosing certain information. If we cannot meet a request, we will explain why.

Complaints

If you are unhappy with how we have handled your personal data, please tell us first so we can put it right, using the contact details above. We will acknowledge your complaint within 30 days of receiving it and respond without undue delay.

Complaining to us does not affect your right to complain to the ICO or to seek a remedy through the courts.

We therefore encourage you to review it when you visit this Site from time to time to stay informed of how we are using personal information.

This Privacy Notice is not contractual, does not form part of the terms and conditions in Part A, and may be updated or amended at any time.

Criminal offence and special category data

Our screening can produce information about criminal convictions or alleged offences, and occasionally special category data (for example, politically exposed person screening may reveal a person’s political opinions). Where we process this we rely on the substantial public interest conditions in Schedule 1 to the Data Protection Act 2018 – paragraph 10 (preventing or detecting unlawful acts), paragraph 12 (regulatory requirements relating to unlawful acts and dishonesty) and paragraph 21 (politically exposed persons). We maintain an Appropriate Policy Document explaining how we handle and retain this data, which is available to the Information Commissioner on request. Where a report of suspicion is made, we may be prohibited by law from telling you.
